Important Notice: By accessing and using the Trivanta Agro ERP System and associated services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our services.
In these Terms and Conditions, unless the context otherwise requires, the following expressions have the following meanings: “Company” refers to Trivanta Agro Pvt. Ltd., a private limited company incorporated under the Companies Act, 2013, bearing CIN U46200BR2026PTC084788, with its registered office at C/o Vikram Kumar, Pharsahi, Chopra, Ram Nagar, Purnea, Purnia - 854102, Bihar. “ERP System” refers to the digital contract farming management platform provided by the Company, accessible via web and mobile interfaces. “User” refers to any individual or entity who accesses or uses the ERP System, including but not limited to farmers, integrators, technical officers, accounts personnel, and administrators. “Contract Farming Agreement” refers to the binding agreement between the Company and a Farmer for the rearing and buy-back of poultry birds under specified terms and conditions.
By registering an account on the Trivanta Agro ERP System, accessing any part of the platform, or engaging in contract farming activities with the Company, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, along with our Privacy Policy and any applicable contractual agreements. These terms constitute a legally binding agreement between you and the Company. The Company reserves the right to modify these terms at any time, and continued use of the system after such modifications constitutes acceptance of the revised terms.
Users must provide accurate, current, and complete information during the registration process. Each user is assigned a unique identification code (such as TRV-F-XXX for farmers, TRV-I-XXX for integrators) and login credentials. Users are responsible for maintaining the confidentiality of their account credentials and must not share them with any third party. Any activity performed under a user's account is deemed to be authorized by that user. The user must immediately notify the Company of any unauthorized access or use of their account. The Company reserves the right to suspend or terminate accounts that are found to be used in violation of these terms.
The contract farming arrangement between the Company and a Farmer is governed by a separate Contract Farming Agreement. Key terms include: the Company shall supply day-old chicks, feed, medicines, and technical support to the Farmer as per the agreed schedule. The Farmer shall rear the birds in accordance with the Company's prescribed standards, bio-security protocols, and management practices. The Company shall purchase the mature birds at the predetermined buy-back price as specified in the Contract Farming Agreement. Growing Charges (GC) shall be calculated based on the GC formula applicable at the time of settlement, considering factors such as feed conversion ratio, mortality rate, average body weight, and prevailing market conditions. Settlement payments shall be processed within the timeline specified in the Contract Farming Agreement, subject to completion of all verification processes.
The ERP System is provided for legitimate business operations related to contract farming management. Users must not use the system for any unlawful purpose, attempt to gain unauthorized access to any part of the system, introduce malicious code, viruses, or any other harmful elements, manipulate data, records, or calculations in an unauthorized manner, share confidential business data with competitors or unauthorized parties, or attempt to reverse-engineer, decompile, or disassemble any part of the system. The Company monitors system usage to ensure compliance with these terms and maintain data integrity.
All data entered into the ERP System, including daily entries, batch records, feed consumption, vaccination records, and settlement calculations, constitutes official business records of the Company. Users are responsible for ensuring the accuracy and timeliness of data they input into the system. The Company retains the right to audit, verify, and correct any data entries. Digital records maintained in the ERP System shall have the same legal validity as physical records, in accordance with the Information Technology Act, 2000, and applicable amendments.
All intellectual property rights in the ERP System, including software, designs, logos, trademarks, trade names, and documentation, are owned by or licensed to the Company. The Company's trademarks, including “TRIVANTA AGRO” and associated logos, may not be used without prior written permission. Users are granted a limited, non-exclusive, non-transferable license to use the ERP System solely for the purpose of conducting contract farming operations with the Company.
The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of the ERP System. The Company's total liability for any claim arising under these terms shall not exceed the amount of Growing Charges payable to the Farmer for the specific batch in dispute. The Company is not liable for any temporary unavailability of the ERP System due to scheduled maintenance, server outages, or circumstances beyond reasonable control (force majeure). The Company makes no warranties or representations about the suitability, reliability, or availability of the ERP System for any particular purpose.
The Company may terminate or suspend a user's access to the ERP System at any time for breach of these Terms and Conditions, fraudulent or dishonest activities, violation of the Contract Farming Agreement, or any other reasonable cause. Upon termination, all rights and licenses granted to the user shall immediately cease. Termination does not affect any rights, obligations, or liabilities that have already accrued. The Company reserves the right to pursue legal remedies for any losses incurred due to user misconduct.
These Terms and Conditions are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts at Purnea, Bihar. The parties agree to attempt to resolve any disputes through good-faith negotiation before initiating legal proceedings. If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The failure of the Company to enforce any right or provision of these terms shall not constitute a waiver of such right or provision. These Terms and Conditions constitute the entire agreement between the user and the Company regarding the use of the ERP System, superseding any prior agreements or understandings.
